1. 条款的接受

欢迎使用迈达斯株式会社（以下简称"迈达斯"或"本公司"）提供的游戏及相关服务（以下简称"服务"）。通过访问、下载、安装或使用我们的任何游戏应用程序、网站或服务，即表示您已阅读、理解并同意接受本服务条款（以下简称"本条款"）的全部内容。

4. 知识产权

服务中包含的所有内容，包括但不限于游戏软件、图形、界面、音频、视频、文本、商标、标识等，其知识产权均归迈达斯或其授权方所有，受相关知识产权法律保护。未经迈达斯书面许可，您不得复制、修改、传播或以其他方式使用上述内容。

5. 用户内容

您对您在服务中上传或发布的用户内容 retain 所有权。您授予迈达斯一项非排他性、免费、全球性的许可，允许我们为运营和改进服务之目的使用、复制、展示和分发您的内容。

您保证您的用户内容不侵犯任何第三方的权利，且不包含违法、有害、骚扰性、诽谤性或其他不当内容。迈达斯保留随时删除不当内容的权利。

6. 禁止行为

使用服务时，您不得：

• 以任何方式危害或威胁他人安全，或侵害他人合法权益；
• 冒充他人或伪造身份信息；
• 上传或传播病毒、恶意软件或其他有害代码；
• 对服务进行逆向工程、反编译或反汇编；
• 使用外挂、作弊工具或自动化脚本干扰正常游戏秩序；
• 未经授权访问我们的系统或数据；
• 进行任何可能损害服务稳定性或安全性的行为；
• 将服务用于任何非法或未经授权的目的。

7. 虚拟物品与内购

服务中可能提供虚拟货币或虚拟道具的购买功能。虚拟物品仅限在服务内使用，不具备现实货币价值。除法律另有规定外，虚拟物品一经购买，概不退款。

迈达斯有权调整虚拟物品的获取方式、价格及功能。若您的账号因违反本条款被终止，您可能丧失所有虚拟物品且无法获得补偿。

8. 隐私保护

我们重视您的隐私。关于我们如何收集、使用和保护您的个人信息，请参阅我们的隐私政策。隐私政策为本条款不可分割的一部分。

9. 免责声明

服务按"现状"提供，迈达斯不作任何明示或暗示的保证，包括但不限于适销性、特定用途适用性或不侵权的保证。迈达斯不保证服务将持续可用、无错误或不受干扰。

10. 责任限制

在适用法律允许的最大范围内，迈达斯及其关联方不对因使用或无法使用服务而产生的任何直接、间接、附带、特殊或后果性损害承担责任。迈达斯的总责任以您在产生争议前12个月内为使用服务实际支付的金额为限。

11. 赔偿

您同意赔偿并使迈达斯及其关联方、董事、员工免受因您违反本条款或滥用服务而引起的任何索赔、损失、损害和费用（包括合理的律师费）的损害。

12. 条款终止

迈达斯有权随时因任何理由暂停或终止您的账号及服务使用权。本条款中基于性质应继续有效的条款（如知识产权、免责声明、责任限制等）在终止后继续有效。

13. 适用法律与争议解决

本条款受日本国法律管辖。因本条款或服务引起的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均可向东京地方法院提起诉讼。

14. 条款变更

迈达斯有权随时修订本条款。修订后的条款将在我们的网站或服务中公布，自公布之日起生效。如您在条款修订后继续使用服务，即视为您接受修订后的条款。

1. Acceptance of Terms

Welcome to the games and related services (the "Services") provided by Midas Co., Ltd. ("Midas" or "the Company"). By accessing, downloading, installing, or using any of our game applications, websites, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (these "Terms").

If you do not agree to any part of these Terms, please do not use our Services. If you are a minor, please read these Terms with your legal guardian and use our Services only with their consent.

2. Definitions

• "Services" means all game products, websites, applications, and related online services provided by Midas.

4. Intellectual Property

All content included in the Services, including but not limited to game software, graphics, interfaces, audio, video, text, trademarks, and logos, is owned by Midas or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or otherwise use such content without prior written permission from Midas.

5. User Content

You retain ownership of User Content you upload or post in the Services. You grant Midas a non-exclusive, royalty-free, worldwide license to use, copy, display, and distribute your content for the purpose of operating and improving the Services.

You represent that your User Content does not infringe the rights of any third party and does not contain illegal, harmful, harassing, defamatory, or otherwise inappropriate content. Midas reserves the right to remove inappropriate content at any time.

6. Prohibited Conduct

When using the Services, you shall not:

• Endanger or threaten the safety of others, or infringe upon the legitimate rights of others;
• Impersonate another person or falsify identity information;
• Upload or transmit viruses, malware, or other harmful code;
• Reverse engineer, decompile, or disassemble the Services;
• Use cheats, hacking tools, or automated scripts to disrupt normal gameplay;
• Access our systems or data without authorization;
• Engage in any conduct that may compromise the stability or security of the Services;
• Use the Services for any illegal or unauthorized purpose.

7. Virtual Items and In-App Purchases

The Services may offer the purchase of virtual currency or virtual items. Virtual Items are for use within the Services only and have no real-world monetary value. Unless otherwise required by law, Virtual Items are non-refundable once purchased.

Midas reserves the right to adjust the acquisition methods, pricing, and functionality of Virtual Items. If your account is terminated due to a violation of these Terms, you may lose all Virtual Items without compensation.

8. Privacy

We value your privacy. For information on how we collect, use, and protect your personal information, please refer to our Privacy Policy. The Privacy Policy is an integral part of these Terms.

9. Disclaimer

The Services are provided "as is" without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Midas does not guarantee that the Services will be continuously available, error-free, or free from interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Midas and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or inability to use the Services. The total liability of Midas shall be limited to the amount you actually paid for the Services in the twelve months preceding the dispute.

11. Indemnification

You agree to indemnify and hold harmless Midas and its affiliates, directors, and employees from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.

12. Termination

Midas reserves the right to suspend or terminate your account and access to the Services at any time for any reason. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) shall remain in effect after termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Japan. Any disputes arising from these Terms or the Services shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the Tokyo District Court.

14. Changes to Terms

Midas reserves the right to revise these Terms at any time. Revised Terms will be posted on our website or within the Services and shall take effect upon posting. Your continued use of the Services after the revision constitutes your acceptance of the revised Terms.

ミダスは、事前通知なく、いつでも本サービスの全部または一部を変更、一時停止、または終了する権利を留保します。システムメンテナンス、アップグレード、その他の理由によるサービス中断について、当社は法的責任を負いません。

4. 知的財産

本サービスに含まれるすべてのコンテンツ（ゲームソフトウェア、グラフィック、インターフェース、オーディオ、ビデオ、テキスト、商標、ロゴなどを含むがこれらに限定されない）は、ミダスまたはそのライセンサーが所有し、適用される知的財産法によって保護されています。ミダスの書面による事前許可なく、これらのコンテンツを複製、改変、配布、またはその他の方法で使用することはできません。

5. ユーザーコンテンツ

お客様は、本サービスでアップロードまたは投稿したユーザーコンテンツの所有権を保持します。お客様は、本サービスの運営および改善を目的として、お客様のコンテンツを使用、複製、表示、配布するための非独占的、無償、全世界のライセンスをミダスに付与します。

お客様のユーザーコンテンツが第三者の権利を侵害せず、違法、有害、嫌がらせ、中傷、その他不適切なコンテンツを含まないことを保証します。ミダスは、不適切なコンテンツをいつでも削除する権利を留保します。

6. 禁止行為

本サービスの利用にあたり、以下の行為を行ってはなりません：

• 他者の安全を危険にさらし、または脅かし、他者の正当な権利を侵害する行為；
• 他者になりすます、または身元情報を偽造する行為；
• ウイルス、マルウェア、その他の有害なコードをアップロードまたは送信する行為；
• 本サービスのリバースエンジニアリング、逆コンパイル、逆アセンブルを行う行為；
• チート、ハッキングツール、自動化スクリプトを使用して正常なゲームプレイを妨害する行為；
• 当社のシステムまたはデータに不正アクセスする行為；
• 本サービスの安定性またはセキュリティを損なう可能性のある行為；
• 本サービスを違法または不正な目的で使用する行為。

7. バーチャルアイテムとアプリ内課金

本サービスでは、仮想通貨または仮想アイテムの購入機能を提供する場合があります。バーチャルアイテムは本サービス内でのみ使用でき、現実世界の通貨価値を持ちません。法律で別途定めがある場合を除き、購入済みのバーチャルアイテムは返金されません。

ミダスは、バーチャルアイテムの取得方法、価格、機能を調整する権利を留保します。本規約違反によりアカウントが終了した場合、補償なしにすべてのバーチャルアイテムを失う可能性があります。

8. プライバシー

お客様のプライバシーを重視しています。個人情報の収集、使用、保護に関する情報は、プライバシーポリシーをご参照ください。プライバシーポリシーは本規約の不可分の一部です。

9. 免責事項

本サービスは「現状有姿」で提供され、ミダスは商品性、特定目的への適合性、非侵害性を含む、明示または黙示のいかなる保証も行いません。ミダスは、本サービスが継続的に利用可能であること、エラーがないこと、中断されないことを保証しません。

10. 責任制限

適用法で認められる最大限の範囲において、ミダスおよびその関連会社は、本サービスの使用または使用不能から生じる直接的、間接的、付随的、特別、または結果的損害について責任を負いません。ミダスの総責任は、紛争発生前の12ヶ月間にお客様が本サービスに対して実際に支払った金額を上限とします。

11. 補償

お客様は、本規約の違反または本サービスの不正使用から生じるすべての請求、損失、損害、費用（合理的な弁護士費用を含む）について、ミダスおよびその関連会社、取締役、従業員を補償し、免責することに同意します。

12. 規約の終了

ミダスは、いかなる理由でも、いつでもお客様のアカウントおよび本サービスへのアクセスを一時停止または終了する権利を留保します。性質上終了後も有効であるべき規定（知的財産、免責事項、責任制限など）は、終了後も有効に存続します。

13. 準拠法および紛争解決

本規約は日本国の法律に準拠します。本規約または本サービスから生じるすべての紛争は、まず友好的な協議によって解決するものとします。協議が不調に終わった場合、いずれの当事者も東京地方裁判所に訴訟を提起することができます。

14. 規約の変更

ミダスは、いつでも本規約を改訂する権利を留保します。改訂された規約は当社のウェブサイトまたは本サービス内に掲載され、掲載日から効力を生じます。改訂後も本サービスを継続して使用する場合、改訂された規約に同意したものとみなされます。
